Where deals go wrong

Deals are lost in the loose ends.

Indian mid market deals are run by small teams who also have a business to manage. These are the three gaps we see most.

  1. The deal lives in inboxes

The buyer's CA asks for GST returns, someone forwards them, and a week later nobody is sure which version went out or who else saw the customer list.

  2. Questions go unanswered

Forty open diligence questions sit across email, WhatsApp and a spreadsheet. The one about the factory lease is still open on the day of signing.

  3. Closing is treated as the end

The plan for Day One was in the adviser's head. Two payroll systems, two price lists and nervous customers arrive on the same Monday.

How a deal runs

Eight stages, one workspace from start to finish.

Timings are typical for a mid sized Indian business and move with the size of the deal, the approvals and how ready the records are.

The platform

Six modules, each with a clear job.

Run the deal, run the engagement, and decide exactly who sees what.

  1. Pipeline

The target sits on the board under a code name

Sourced from a CA's introduction, tagged by industry, state and ownership, with an owner and a next step. When the NDA is signed, it moves a column.

  2. Due diligence

Every question has an owner and a date

The request list goes out, documents land in the data room by area, and the buyer's CA and lawyer ask questions in one log that the seller's team answers.

  3. Signing

    Findings turn into terms

Each material finding links to its evidence and gets a route: fixed before signing, a condition, a price adjustment or an indemnity. The lawyers work from the same list.

  • One chart of accounts and one monthly MIS within 100 days
  • One shared question log for both sides

Questions

What people ask us first.

Already a client? Log in to Synerger.

What is Synerger?

A platform for running deals and advisory engagements: pipeline, due diligence and data room, integration plans and engagement tracking. It is made by Code Colonies, whose consulting team also advises on deals using it.

Do we have to use your advisers?

No. You can use the platform on your own, use our advisers, or both. If you work with our advisers, you are invited to the workspace for your deal.

Who sees our documents?

Only the people you invite, and only the folders their role allows. Every upload, view and answer is recorded with the person and the time.

How are advisory fees agreed?

Every engagement starts with a written scope. Most run under our output based model, where you pay after you accept the work, or with advisers working inside your team.

Do you replace our CA or lawyer?

No. They stay on the deal and work in the same workspace. We keep the record, run the process and bring deal experience.

Next step

Tell us what you are planning. We will show you how we would run it.

A thirty minute confidential call with an adviser. You leave with the steps, the documents you will need and where the risks usually sit.
