Healthcare deals carry licences, patient data and doctors who may not stay.
Hospitals, diagnostic chains, clinics, pharmacies and pharma makers change hands often in India, usually as a larger group buys a well run local business. The licences sit with specific premises and people, the data is sensitive, and the value often depends on doctors and technicians who are free to leave.

Deal patterns
How deals usually look in healthcare.
The four shapes a transaction most often takes in this sector, and what each one turns on.
- A chain buys a local hospital or labA regional hospital group or diagnostics chain adds a city through an established local name, then moves it onto its own systems and brand.
- Doctors sell to a groupFounding doctors sell a majority and stay on as clinicians. The terms of their continued practice matter as much as the price.
- Investment into a growing chainA fund invests in a clinic or pharmacy chain to pay for new branches, with conditions on governance and reporting.
- Buying a product or a plant in pharmaA pharma company buys a brand, a manufacturing site or a set of product registrations and leaves the rest of the company with the seller.
Diligence focus
Where the questions will come from.
Expect a buyer or investor to spend most of their diligence time on these areas. Preparing them first shortens the process.
Licences tied to premises and people
Registrations, drug licences and approvals are often issued to a premises and a named qualified person. Check what survives a change of owner.
Doctor and consultant arrangements
Retainers, revenue share deals and visiting consultants: what they say about notice, non compete and who the patients belong to.
Patient and health data
Where patient records sit, who can see them, and how they will be handled in diligence and after. Health data is personal data under the DPDP Act.
Biomedical waste and safety
Authorisations, waste contracts and safety inspections. Gaps here are hard to fix after closing.
Payer mix and receivables
How much revenue comes through insurers, TPAs and government schemes, and how old those receivables really are.
Quality systems in pharma
Inspection history, open observations and how product registrations transfer between companies.
Each area gets its own folder, with access by role
Approvals and regulators
Who else may need to say yes.
Which approvals apply depends on the business, the structure and the state. Confirm them with your CA and lawyer before you set a timeline.
Approval or regulator
---
Central and state drug regulators, for manufacturing, sale and import licences
State registration of clinical establishments, where the state has adopted the law
Biomedical waste authorisation from the state pollution control board
The DPDP Act, 2023 for patient personal data
Insurance and government health scheme empanelments, which have their own transfer rules

Illustrative example with sample details.
A diagnostics chain in Ahmedabad buys a lab in Rajkot
A diagnostics chain wants a presence in Saurashtra and agrees terms with the founding pathologist of a well known Rajkot lab. On Synerger, the data room gives the chain's finance team the accounts and the payer receivables, while the clinical team sees only the licences, the equipment list and the quality records. Patient level data stays out of the data room: the seller shares sample reports with names and numbers removed, which the buyer's team agrees is enough. The founder's consulting agreement and a two year transition plan are drafted alongside the share purchase agreement.
The target moves across the pipeline under a code name
Questions
About healthcare deals
Can patient records go into the data room?
Usually they should not. Share aggregated or redacted data, and keep anything identifiable out unless there is a clear purpose and a lawful basis.
Will the licences transfer with the business?
Some do, some need a fresh application, and some depend on a named qualified person staying. Map each licence early, because this decides the closing timeline.
How do we keep the founding doctors after the deal?
Through a clear role, a fair agreement and often an earn-out or retained stake. Discuss it openly, early, and well before signing.

- Due diligencePlatformRequest lists, a data room and questions in one place, with a record of who did what.
- Diligence documents and the DPDP ActArticleDue diligence moves a lot of personal data from the seller to buyers and their advisers. Under the Digital Personal Data Protection Act, 2023, that needs a plan: what to share, in what form, with whom, and what happens to it afterwards.
- Employee transfer in a dealGuideEmployees are often the most valuable part of a business and the most nervous part of a deal. How employment moves depends on whether the deal is a share sale or an asset sale, and the buyer will check payroll and labour compliance in either case.
