Questions

Synerger

4 questions

What is Synerger?

A platform for running deals and advisory engagements: pipeline, due diligence and data room, integration plans and engagement tracking in one record. It is made by Code Colonies Private Limited, whose consulting team also advises on deals using it.

Can we use the platform without your advisers?

Yes. Deal teams, family offices and advisory firms can use it to run their own work. Ask us for access and we will set up a workspace.

Can we use your advisers without the platform?

Yes. Our advisers run every engagement on Synerger and invite you to the workspace for yours. You do not need to buy or learn the platform.

Who is it for?

Founders and owners selling, buying or raising capital; acquirers and investors running diligence; CA firms, boutique banks and consultancies running mandates; and family businesses planning succession or restructuring.

Questions

Confidentiality and access

4 questions

Who can see our documents?

Only the people you invite, and only the folders and lists their role allows. The other side, your lawyers and our advisers can each be given different access, and access can be removed at any time.

Is there a record of who opened what?

Yes. The audit trail records uploads, views, answers and changes, with the person and the time.

Will you sign an NDA before we share anything?

Yes. Many first conversations start with one. You can also describe your situation in general terms before deciding what to share.

What about personal data in diligence documents?

Employee and customer records in a data room are personal data under the Digital Personal Data Protection Act, 2023. Share only what the buyer needs, redact where you can, and agree how it will be handled. Code Colonies also makes TrustOS for wider DPDP compliance.

Questions

Process and timing

4 questions

How long does a sale take?

It depends most on how ready the business is. Preparation often takes a few weeks, finding and agreeing terms with a buyer a few months, and diligence itself four to eight weeks. The deal timeline planner gives a dated view for your case.

When do we need to tell staff, customers or banks?

Usually later than owners fear, and earlier than closing. Lenders and key contracts may need consent before signing. Staff and customers are told to a plan agreed with the buyer, often on the day the deal is announced.

What slows a deal down most?

Missing paperwork. Accounts that do not reconcile to GST and bank records, contracts not in the company's name and licences that do not transfer. Most of it can be fixed before a buyer asks.

What happens after closing?

The first hundred days: banks, payroll, customers, suppliers and systems moved over to a plan. The same workspace carries on, so the integration plan sits next to the diligence findings that shaped it.

Questions

Engagements and fees

4 questions

How are advisory engagements priced?

Every engagement starts with a written scope. Most run under the Code Colonies engagement models: output based, where you pay after you accept the work, or forward deployed, where our advisers work inside your team. We quote after the first conversation.

Do you replace our CA or lawyer?

No. Tax, legal drafting and statutory sign offs stay with your CA and lawyers. We work alongside them and keep everyone on the same record.

Do you work on cross border deals?

Yes, where the Indian side is our client or the target is in India. Foreign exchange, tax and approvals on cross border deals need specialist advice, which we bring in with you.

Who builds the systems after a deal?

When two businesses need one ERP, payroll or reporting system, the Code Colonies technology team can do the work on 2good.dev terms: INR 199 or USD 2 an hour, a 150 hour minimum and no advance.
