Advisory · Mergers and acquisitions
Buy side, sell side and fundraising, from the first list of names to day 100.
Advisers who help you decide what to buy, sell or raise, put a defensible number on it and get the paperwork to a signature.

When clients call us
The moments this practice is for
Usually when something has already started: a competitor's promoter has asked whether you would buy them, an investor wants a data room by next month, or a family shareholder wants to exit. It is cheaper to call before you sign a term sheet or an exclusivity letter than after.
What we do
Services in mergers and acquisitions, scoped in writing.
Deal strategy and opportunity mapping
We write down why you are doing a deal, what a good target looks like and what you will walk away from. Then we build a long list by industry, region and ownership and cut it to names worth a phone call.
Business valuation and financial modelling
A model you can follow line by line, using DCF, comparable companies and precedent transactions, with the assumptions written out. We show a range and explain what moves it.
Transaction structuring and negotiation support
Share sale or asset sale, upfront cash or deferred payments, earn-outs, warranties and indemnities. We lay out the options with their tax and legal consequences and sit with you through the negotiation.
Fundraising and capital advisory
For founders raising equity or debt: the investor list, the model, the deck, the data room and the term sheet review. We tell you plainly when the business needs another two quarters before it is ready.
Due diligence management
On the buy side we run the request list across your finance, legal and operations reviewers. On the sell side we prepare the data room and answers before buyers ask, so surprises come out early.
Post merger integration
A Day One plan, a first hundred days plan and an owner for each item: bank mandates, payroll, customer letters, systems access. Franchise development and strategic partnerships follow the same discipline.
On Synerger
You see the work as it happens
Every mergers and acquisitions engagement runs in a Synerger workspace you can open at any time: the documents, the open questions, the decisions and the next milestone.

How we work
Four steps, written into the scope
- Step 1Agree the briefOne or two working sessions to settle the objective, the limits on price and structure, and who on your side decides. We write it into a short scope you sign.
- Step 2Build the caseTarget list or buyer list, valuation model and the first view on structure. You review the numbers before anyone outside the company sees them.
- Step 3Run the processOutreach, NDAs, LOI, diligence and the purchase agreement, tracked in one Synerger pipeline with a dated task list. Your CA and lawyer work in the same data room.
- Step 4Close and integrateSigning, closing conditions, then the Day One and hundred day plan. We hand the integration tracker to your team with each owner named.
An example
A Gujarat packaging maker buys a competitor in Maharashtra
A corrugated box maker near Ahmedabad hears that a smaller rival in Nashik may sell because the founder is retiring. We would start with the reason for the deal (customers in Pune and Nashik it cannot serve on time from Gujarat), then value the rival on its own cash flows and on what the combined plant network saves in freight. Diligence would focus on the real questions for a plant like this: land title, pollution control consents, customer concentration and the state of the machines. The structure note would compare buying the shares with buying the plant as an asset.
Illustrative example. Screens and data are samples.
- A written deal thesis with target or buyer criteria
- A valuation model with DCF, comparables and precedent transactions, and a summary of assumptions
- A structure note covering share or asset sale, payment terms and the main tax and legal points to confirm
- A prepared data room and diligence request list on Synerger
- Negotiation support through the LOI and purchase agreement
- A Day One checklist and a hundred day integration plan
Questions
About mergers and acquisitions advisory
Do you work on the buy side and the sell side?
Yes, but never on both sides of the same deal. If we already act for one party, we tell you at the first call and step back.
Can you handle the legal and tax work?
We work alongside your CA and lawyer. We prepare the model, the structure options and the questions; they give the tax and legal opinions and draft the agreements. Approvals such as Competition Commission of India filings or FEMA reporting for foreign investors are confirmed with them for your specific deal.
How is an M&A mandate priced?
Through the group's engagement models. Under O2E a signed specification says what done means for each stage, and you pay after you accept the work. We agree the commercial terms in writing before work starts.
