The problem

Diligence slips in the follow up

The first request list is easy to send. The trouble starts a week later. The seller's accountant uploads GST returns to one shared drive, the plant manager emails photos of fixed asset registers, the lawyer asks the same question about a lease twice, and nobody can say which of the 150 requests are still open. Sellers feel they have answered everything. Buyers feel they have received nothing. Both are partly right, and the deal timetable slips while people compare spreadsheets.

What it gives you

Inside due diligence, feature by feature.

  1. Diligence request tracking

Each request has an owner, a due date and a status, across internal teams and external advisers such as the buyer's CA firm and lawyers.

  2. Virtual data room

Folders for financial, legal, operational and technical documents, with versions kept when a document is replaced.

  3. Questions and answers

Questions are raised against a request or document, routed to the right person on the other side, and closed only when answered.

  4. Role based access

Decide who sees which folders. The buyer's tax adviser can see tax files without seeing employee contracts.

  5. Audit trail

A record of who uploaded, opened and answered what, and when. Useful when someone later says a document was never shared.

  6. Workflow automation and Excel import

Import a request list from Excel, and set conditional triggers, for example a reminder to the owner when a request passes its due date.

How it works

A typical run through due diligence

  1. Step 1Agree the request listStart from a checklist in Playbooks and templates or import your own from Excel. Trim it to what matters for this deal and this sector.
  2. Step 2Assign owners on both sidesEach request gets an owner on the seller's side and a reviewer on the buyer's side, with a due date.
  3. Step 3Collect documents in the data roomThe seller uploads into the agreed folders. Access is set per folder, so each adviser sees only what they need.
  4. Step 4Raise and close questionsReviewers raise questions against documents. Answers are logged against the question, so nothing is answered twice.
  5. Step 5Report open itemsBefore each weekly call, pull a list of open and overdue requests by owner.

In motion

The data room fills while questions get answered

Documents land in the folder for their area, and each open question in the log gets an owner, an answer and a link to the file behind it.

An example

A Gujarat packaging maker buying a Maharashtra competitor

A corrugated packaging company in Gujarat agrees terms to buy a smaller competitor near Nashik. The buyer's team, its CA firm and its lawyer share one request list of about 150 items across finance, tax, legal, plant and HR. The seller's finance head uploads three years of audited accounts and GST returns, the plant manager adds machine lists and pollution control consents, and the lawyer reviews the factory lease. When the lawyer asks whether the lease can be assigned on a change of control, the question goes to the seller's company secretary and the answer is logged against the lease. Each Friday both sides see the same open list. The decision on price adjustments and indemnities stays with the buyer and its advisers.

Questions

About due diligence

Can the seller's advisers and our advisers work in the same data room?

Yes. Each person gets a role and folder access suited to their part of the work, and the audit trail shows what each of them opened.

Diligence documents include employee records. Is that a problem?

It needs care. Personal data in employee and customer files falls under India's Digital Personal Data Protection Act, 2023. Share only what the review needs, restrict those folders, and confirm the approach with your lawyer.

Does Synerger write the diligence report?

No. The platform tracks requests, documents and answers. Findings and the report are written by your advisers, or by our advisory team if you engage us.
