When clients call us

The moments this practice is for

Clients usually call when an outsider is about to look closely: an investor's diligence team, a bank reviewing a larger limit, or a buyer's accountants. Others call when cash is tight and they need a credible plan before talking to lenders, or when a group with entities in more than one country needs its intercompany pricing explained.

What we do

Services in financial and risk, scoped in writing.

  1. Corporate finance and budgeting

An annual budget and a rolling cash forecast built from your ledgers, with a monthly review of actuals against plan. Simple enough that your accounts team can keep it up.

  2. Enterprise risk assessment

A register of the risks that matter, such as customer concentration, key person dependence, licence renewals and supplier contracts, each with a likelihood, an owner and what is being done about it.

  3. Tax strategy and regulatory compliance

We work with your CA to review how the business is set up for Income Tax and GST, what a deal or restructuring changes, and which filings and approvals need watching. Your CA signs off; we make sure the questions are asked early.

  4. Financial restructuring and turnaround

When debt or losses are squeezing the business: a frank view of the position, a thirteen week cash plan, options for the balance sheet and support in talks with banks and creditors.

  5. Legal and contract risk

A read through of your important contracts, such as customer agreements, leases, distributor terms and loan covenants, to flag change of control clauses, unlimited liabilities and missing documents. Your lawyer advises on remedies.

  6. Internal controls and governance

Approval limits, segregation of duties, related party transactions, board minutes and statutory registers. Transfer pricing and cross border finance questions are handled with your CA where the group has overseas entities.

How we work

Four steps, written into the scope

  1. Step 1Read the booksThree years of financial statements, the latest ledgers, loan papers and key contracts. We meet your accounts team and CA in the first week.
  2. Step 2Name the issuesA short findings note ranked by how much each issue matters to the decision ahead, whether that is a fundraise, a sale or a loan.
  3. Step 3Fix what you canBudgets, controls, policies and clean up work agreed with you and tracked as an engagement, with your CA and lawyer handling anything that needs their signature.
  4. Step 4Prepare for scrutinyA data room and a set of prepared answers for the investor, buyer or lender, so the questions they will ask are already handled.

An example

A Rajkot auto parts promoter prepares to sell a minority stake

A promoter who makes machined components for tractor and two wheeler makers has been approached by a fund for a minority stake. Before the fund's accountants arrive, we would go through the books with the company's CA: related party purchases from a cousin's firm, cash expenses without bills, a factory lease that was never registered, and customer contracts that let the buyer renegotiate if ownership changes. Each issue would get an owner and a fix where one is possible, and a plain explanation where it is not. The diligence documents would sit in a Synerger data room with access by folder, because employee and customer records hold personal data under the DPDP Act, 2023.

Questions

About financial and risk advisory

Do you replace our CA or statutory auditor?

No. Your CA and auditor keep their roles and sign what they are responsible for. We help with planning, analysis and preparation, and we make sure the right questions reach them in time.

Can you help when the business is in financial difficulty?

Yes, and the earlier the better. We start with a frank cash position and a short term plan, then look at options with your lenders. Formal insolvency processes need a lawyer and a registered professional, and we will tell you when it has reached that point.

How do you handle personal data in the documents we share?

Diligence files often contain employee records and customer lists, which fall under India's DPDP Act, 2023. Synerger lets you restrict access per deal and per folder and keeps an audit trail of who opened what. If you need a wider compliance programme, the group's TrustOS platform (dpdpatrustos.com) covers it.
