Checklists, deal documents and models to start from, so no deal begins on a blank page.
Start each stage of a deal from a working draft: diligence checklists, NDAs, letters of intent, heads of terms, valuation models and announcement kits.
The problem
Every deal starts by hunting for last year's documents
A founder about to share numbers with an investor needs an NDA today. A promoter weighing an offer wants to know what a letter of intent usually covers. A buyer's team starts diligence by searching old email for the checklist used on the previous deal, then discovers it had no HR section. The documents exist somewhere, in different versions, with someone else's company name still in the footer. Time that belongs to the deal goes into finding and fixing drafts.
What it gives you
Inside playbooks and templates, feature by feature.

Financial, legal, operational and HR checklists you can trim for the deal and load straight into the request tracker.
NDA, LOI and heads of terms

SPA, asset purchase agreement and MAC clauses
Starting drafts of a share purchase agreement and an asset purchase agreement, with example material adverse change clauses to discuss with your lawyer.
Deal structure templates
Outlines for comparing structures, such as a share purchase against an asset purchase, or a full sale against a minority stake.

Press release and announcement kit
Drafts for the press release, the staff letter, and customer and supplier notes, ready for the day the deal is announced.
How it works
A typical run through playbooks and templates
- Step 1Pick the playbook for the dealChoose by deal type, such as a buy side acquisition, a sell side mandate or a fundraise. It lists the stages and the documents each one needs.
- Step 2Copy templates into the dealTemplates are copied into the deal record, so edits for this deal never change the master version.
- Step 3Fill in and reviewYour team fills in the details. Your lawyer and CA review anything legal or tax related before it goes out.
- Step 4Keep the final versions with the dealSigned and final documents stay on the deal record, next to the history that led to them.
An example
A Pune SaaS founder preparing for a Series A
The founder of a Pune company selling inventory software to distributors has two funds interested in leading a Series A. Before sharing customer data, she sends each fund the mutual NDA from the library, edited by her lawyer. She uses the revenue projection template to build next year's numbers from customers, average contract value and churn. The valuation model shows her how investors may look at comparable companies. She loads the financial and legal checklist into due diligence so the data room is ready before the funds ask. The term sheet itself is negotiated by her and reviewed by her lawyer.

Questions
About playbooks and templates
Can we use the legal templates without a lawyer?
We would not advise it. The templates save drafting time and show what is usually covered, but every deal is different. Have your lawyer review anything you sign.
Are the templates written for Indian deals?
Yes. They are drafted with the Companies Act, FEMA, stamp duty and Indian tax rules in mind.
Does the valuation model give us the price?
No. It gives a range under stated assumptions. The price is what a buyer or investor agrees to pay, and that comes from negotiation, with your advisers beside you.
