The situation
A second generation textile family in Surat runs a weaving and processing business. The two brothers who run it disagree on the future. One wants to expand; the other wants to sell part of the business and step back. A larger competitor from the same city has heard about this and asked for a meeting. Before the meeting, the competitor's finance head emails a one page NDA and asks for the last three years of accounts and a customer list.
The family wants to explore the conversation. They also know that this buyer sells to many of the same garment exporters they do. If the deal does not happen, the competitor will still know their customers, their margins and their costs.
What an NDA does
A non disclosure agreement, also called a confidentiality agreement, is a contract in which one or both parties agree to keep certain information confidential and to use it only for a stated purpose. In a deal, the purpose is evaluating the possible transaction. If the other side breaks the agreement, you can claim damages and ask a court to stop further use or disclosure.
It does not make information secret. Once your competitor's sales head has seen your customer list, no contract can remove it from his memory. The NDA gives you a legal remedy and, more usefully, makes the other side careful about who sees what. The rest of the protection comes from what you choose to share and when.
The clauses that matter
Definition of confidential information
The definition should be broad enough to cover everything you share, whether written, oral or seen on a site visit, and the fact that discussions are taking place at all. Watch for definitions that only protect documents marked "confidential". In a busy process, something will be shared without a label.
Purpose and permitted use
Information should be used only to evaluate the proposed transaction. A clear purpose clause is what stops a competitor from using your pricing in its next negotiation with a shared customer.
Who can see it
The receiving party will want to share with its directors, employees, advisers and financiers. That is reasonable, but it should be limited to people who need to know, and the receiving party should be responsible for any breach by them. For a competitor, ask for commercially sensitive information to be seen only by a small named group that is kept away from sales and pricing decisions, sometimes called a clean team.
Standard exclusions
Most NDAs exclude information that is already public, already known to the receiver, received from someone else without restriction, or developed independently. These exclusions are fair, but the burden of proving them should sit with the party relying on them.
Non solicitation
If the buyer meets your senior people during the process, it may try to hire them later. A non solicitation clause for a fixed period, often one to two years, addresses this. A similar clause can cover your customers and suppliers. Ask your lawyer how far such clauses can be enforced in India, because Indian contract law is generally cautious about restrictions on trade and employment.
Duration
Confidentiality obligations in deal NDAs commonly last two to three years from signing or from the end of discussions. Trade secrets may justify a longer period. An NDA with no end date can be harder to enforce.
Return or destruction
When discussions end, the receiver should return or destroy what it received and confirm this in writing, with a narrow exception for copies it must keep under law or in automatic backups.
Governing law and disputes
Choose Indian law and a court or arbitration seat that is practical for you. For a Surat business, a forum in a distant city or abroad makes enforcement slow and costly.
Clauses people forget
- No obligation to proceed. Either side can walk away without liability, apart from the confidentiality obligations themselves.
- No representation. You are not promising that the information is complete or accurate; that comes later, in the purchase agreement.
- Personal data. If you will share employee or customer records, the NDA should require the receiver to handle them in line with India's Digital Personal Data Protection Act, 2023, and to use them only for the deal.
- Standstill, for listed companies. If the target is listed, the buyer may be asked not to buy shares in the market for a period. Insider trading rules from SEBI also apply to anyone holding unpublished price sensitive information. Your lawyer will advise whether this applies.
Share in stages
The best protection is pacing. Do not send three years of accounts and a full customer list on day one. A sensible order is:
- A short teaser with no name or with limited detail
- After the NDA, summary financials and a business overview
- After a letter of intent, detailed financials with customer names masked
- Late in diligence, and to the clean team only, customer level pricing and contracts
For the Surat family, this means the competitor sees enough to make a serious offer before it sees the customer list.
What an NDA cannot do
It cannot stop a determined bad actor, and enforcing it through the courts takes time and money. It cannot protect information you shared before it was signed. And a one page template from the other side is usually drafted to protect them. Have your own lawyer review it, or send your own draft first.
Where Synerger helps
Synerger includes an NDA template among its playbooks and templates, which your lawyer can adapt. Once the NDA is signed, the data room's per folder permissions and audit trail let you put staged disclosure into practice: you decide which folders each party sees and when, and you can see who opened what. The legal drafting and the decision on what to share remain with you and your lawyer.
A short checklist
- Your lawyer reviews the NDA, or you send your own draft first
- Definition covers oral information and the fact of the talks
- Use limited to evaluating this transaction
- Sharing limited to people who need to know; clean team for competitors
- Non solicitation of staff and customers for a fixed period
- Clear duration, return or destruction, and practical governing law
- Personal data handling addressed
- A staged disclosure plan agreed before anything is sent
